About the company

Our client is a law firm.

The role

Raydar is recruiting for this role on behalf of our client. Provide experienced paralegal support across a range of corporate practice areas, working with attorneys at every level rather than being tied to one lawyer. The role covers entity setup and upkeep, coordination of transaction closings, and drafting and maintaining corporate records.

What you'll do

  • Support attorneys across several corporate practice areas, including venture, M&A, governance and regulatory or IP filings.
  • Handle entity formations, state filings and federal tax submissions across multiple states.
  • Coordinate transaction closings from start to finish, including signature collection, investor tracking and final closing document distribution.
  • Update and maintain capitalization tables using cap table management platforms.
  • Draft and maintain corporate governance documents such as resolutions, equity awards and board minutes.
  • Work confidently with attorneys from associates to partners and adjust your working style to each.

What we're looking for

  • 7+ years of corporate paralegal experience.
  • Hands-on experience managing cap tables and option plans.
  • Experience with corporate formations, deal closing coordination and governance document drafting.
  • Ability to work independently with minimal oversight while collaborating well within a team.
  • Comfort supporting multiple practice areas at once rather than a single attorney.
  • Strong communication skills with clients, partners and attorneys, including guiding associate attorneys.
  • Comfort with recording your hours and working toward a yearly productivity target.
  • Willingness to work extended hours during deal closings.
  • Ability to work on-site in Austin, TX, four days per week initially, moving to three days.

Bonus points

  • Experience leading or supervising other staff.
  • Familiarity with securities, intellectual property or transactional work.
  • Not requiring work authorization support.

Benefits

  • Health, dental and vision coverage
  • Disability and life insurance
  • Paid parental leave

Location and work model

  • Austin, TX, United States
  • Hybrid: 4 days per week in office initially, moving to 3 days
  • Full-time

Compensation, as the posting describes it

  • Performance bonus
  • Retirement plan with employer match
  • Flexible time off
  • Paid holidays
  • Professional licensing and education support
